After weeks of frustration, I think I found the issue.
Couldnt have been more simple for me..
I reversed the lines.. told the game where the UI folder was FIRST and it worked like a charm!

cl_ui_subdir UI/
cl_ui_skinname thrasherui

WooHoo !!
I'm back in business
